Terms of Service for Msgify

Welcome to Msgify! These Terms of Service ("Terms") govern your access to and use of the Msgify website (https://msgify.vercel.app/) and our WhatsApp Business automation and messaging services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

1. Description of Service

Msgify provides a Software-as-a-Service (SaaS) platform to help businesses connect their WhatsApp Business Accounts, manage customer interactions, send broadcasts, and build communication automation. We connect to the WhatsApp Cloud API provided by Meta Platforms, Inc. ("Meta") on your behalf.

2. Eligibility & Account Responsibilities

  • Eligibility: You must be at least 18 years old and represent a business or legal entity to use the Services.
  • Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account.
  • WhatsApp Business Policy Compliance: By using Msgify, you agree to comply with WhatsApp’s Commerce Policy and Business Messaging Policy. You are solely responsible for ensuring your messages and templates do not violate these policies.

3. Subscription & Payments

  • Fees: Some Services may be offered on a subscription basis. By selecting a paid subscription, you agree to pay the fees and applicable taxes indicated at the time of purchase.
  • Refunds: All fees are non-refundable unless required by applicable law, or at Msgify’s sole discretion.
  • Cancellation: You may cancel your subscription at any time via your account settings.

4. Acceptable Use Policy

You agree NOT to use Msgify to:

  1. Send spam, unsolicited promotions, or unauthorized advertisements.
  2. Violate any laws, regulations, or third-party rights (including copyright and privacy rights).
  3. Transmit malware, viruses, or any harmful code.
  4. Attempt to hack, reverse engineer, or negatively impact the performance of our platform or Meta's APIs.

Msgify reserves the right to immediately suspend or terminate your account if you violate this Acceptable Use Policy.

5. Third-Party Services (Meta / WhatsApp)

Msgify utilizes the APIs and services of Meta Platforms, Inc. Your use of the WhatsApp Business capabilities via Msgify is explicitly subject to your separate agreement with Meta's terms and conditions.

Msgify is not responsible for any limitations, bans, or suspensions placed on your WhatsApp Business Account by Meta.

6. Intellectual Property

  • Our Rights: Msgify and all associated software, logos, designs, and content are the intellectual property of Msgify. You may not copy, modify, or distribute our intellectual property without express written permission.
  • Your Content: You retain ownership of all messages, customer data, and content you transmit through the Services. By using the Services, you grant us a limited license to process this data solely to provide the Services to you.

7. Disclaimers & Limitation of Liability

  • "AS IS" Basis: The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied.
  • No Liability for Deliverability: Msgify does not guarantee the successful delivery of messages via the WhatsApp network, as delivery depends on third-party infrastructure and recipient connectivity.
  • Limitation of Liability: To the maximum extent permitted by law, Msgify and its owners, affiliates, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from your use of the Services.

8. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or an in-app notification. Your continued use of the Services following such changes constitutes your acceptance of the updated Terms.
